Terms of Service
Effective date: May 2026
These Terms of Service ("Agreement") form a binding contract between you ("Customer", "you") and Giorgi Kurtsikidze, Individual Entrepreneur (მცირე მეწარმე), a sole proprietorship registered in Georgia, operating under the trade name Muxbe ("Muxbe", "we", "us").
By creating an account or using any part of the Muxbe platform, you agree to this Agreement. If you do not agree, do not use the platform.
1. About Muxbe
Muxbe is a business-to-business software-as-a-service (B2B SaaS) platform built for iGaming affiliate management teams. The platform provides:
- Affiliate partner and deal management (CRM)
- Player tracking and analytics (synced from the Customer's affiliate management platform)
- Commission and financial reporting, including invoicing tools
- Retention intelligence with marketing-automation-platform integration
- An AI-powered assistant for operational analysis
- Sports intelligence with live event data
- SEO and competitor monitoring via web crawling
- Team chat, workspace boards, and task management
- Role-based access control with tenant isolation
2. Legal Entity and Operator
Muxbe is owned and operated by:
- Name: Giorgi Kurtsikidze
- Legal form: Individual Entrepreneur / მცირე მეწარმე (registered in Georgia)
- Trade name: Muxbe

- Tax identification number: Available upon request
Muxbe is not a corporation or limited liability entity. Giorgi Kurtsikidze operates as a sole proprietor under Georgian law.
3. Eligibility
Muxbe is a B2B product. To use the platform, you must be:
- A registered business entity, or an authorized representative acting on behalf of one;
- At least 18 years of age;
- Legally able to enter into binding agreements in your jurisdiction.
Muxbe is not intended for personal or consumer use. By creating an account, you represent that you meet these requirements.
4. Account Registration
To access Muxbe, you must create an account using a valid email address and password. Authentication is handled through the platform's authentication system, which uses industry-standard email/password credentials and short-lived tokens.
You are responsible for:
- Providing accurate registration information;
- Keeping your login credentials secure and confidential;
- All activity that occurs under your account, whether authorized by you or not;
- Notifying us immediately at legal@muxbe.com if you suspect unauthorized access.
You may invite additional users to your workspace. You are responsible for ensuring that every user you invite complies with this Agreement.
5. Customer Responsibilities
When using Muxbe, you agree to:
- Provide accurate, complete, and up-to-date information in your account and data uploads;
- Ensure you have a lawful basis (under GDPR or applicable law) for any personal data you upload, sync, or process through Muxbe, including player data, partner data, and contact information;
- Comply with all applicable laws and regulations, including gambling, data protection, anti-money laundering, and advertising laws relevant to your jurisdiction;
- Keep your API credentials, third-party integration tokens, and account passwords secure;
- Not share account access with unauthorized individuals.
6. Prohibited Use
You may not use Muxbe to:
- Engage in any activity that is unlawful, fraudulent, or harmful;
- Upload or distribute malware, viruses, or other harmful code;
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the platform;
- Scrape, crawl, or systematically extract data from the platform beyond normal usage;
- Interfere with or disrupt the platform's infrastructure, security, or other users' access;
- Use the platform on behalf of a competitor for benchmarking or competitive analysis;
- Resell, sublicense, or white-label the platform without written consent from Muxbe.
We reserve the right to suspend or terminate accounts that violate these terms without prior notice.
7. Subscription and Billing
Muxbe operates on a subscription basis. Pricing and plan details are agreed upon between you and Muxbe before your subscription begins.
7.1 Invoicing
Muxbe invoices are issued manually and sent via email. Payment is made by bank transfer to a Georgian business IBAN. Payment details are included on each invoice.
7.2 Payment Terms
Unless otherwise agreed in writing, invoices are due within 14 days of the invoice date. Late payments may result in suspension of access until the balance is cleared.
7.3 No Auto-Renewal
Muxbe does not auto-charge or auto-renew subscriptions. Each billing cycle is invoiced manually. If no invoice is issued, no payment is due.
7.4 Taxes
All fees are exclusive of taxes. You are responsible for any applicable taxes, duties, or withholdings imposed by your jurisdiction.
8. Cancellation and Termination
8.1 Cancellation by Either Party
Either party may cancel the subscription by providing at least 30 days' written notice to the other party. Notice should be sent to legal@muxbe.com (for cancellations by Customer) or to the Customer's registered email (for cancellations by Muxbe).
8.2 Immediate Termination for Breach
Either party may terminate this Agreement immediately if the other party materially breaches any provision and fails to remedy the breach within 14 days of receiving written notice.
8.3 Effect of Termination
Upon termination:
- Your access to the platform will be revoked;
- We will retain your data for 30 days to allow you to request an export, after which it will be deleted;
- Any outstanding invoices remain due and payable;
- Sections that by their nature should survive termination (including confidentiality, liability, indemnification, and governing law) will survive.
9. Third-Party Integrations
Muxbe connects with third-party services to provide its features, including but not limited to:

You are responsible for:
- Providing and maintaining your own API credentials and tokens for third-party services you connect;
- Complying with each third-party service's own terms of use;
- Understanding that Muxbe has no control over the availability, accuracy, or performance of third-party services.
If a third-party service changes its API, pricing, or terms in a way that affects Muxbe's functionality, we will make reasonable efforts to adapt, but we cannot guarantee uninterrupted integration.
10. AI Assistant — Important Limitations
Specifically, you acknowledge and agree that:
- AI outputs are generated by machine learning models and may contain errors, inaccuracies, or hallucinations;
- You must independently verify any AI-generated insight before acting on it;
- You must not rely on AI outputs for decisions that require professional legal, financial, tax, compliance, or regulatory expertise;
- Muxbe is not liable for any decision you make based on AI-generated content;
- AI features may change, be updated, or be discontinued at any time.
11. Data Accuracy
Muxbe synchronizes and displays data from third-party sources, including the Customer's affiliate management platform, the Customer's marketing automation platform, and external sports and SEO data providers.
You are responsible for verifying the accuracy of data before relying on it for business decisions, financial reporting, or regulatory compliance.
12. Intellectual Property
12.1 Muxbe's Intellectual Property
Muxbe and its licensors own all rights, title, and interest in the platform, including its software, design, documentation, branding, and all related intellectual property. This Agreement does not transfer any ownership rights to you.
12.2 Customer Data
You retain all rights to the data you upload, import, or generate through the platform ("Customer Data"). You grant Muxbe a limited, non-exclusive license to process your Customer Data solely to provide and improve the service.
12.3 Feedback
If you provide suggestions, feature requests, or other feedback about Muxbe, we may use that feedback without restriction or obligation to you.
13. Confidentiality
Each party ("Receiving Party") agrees to keep confidential all non-public information disclosed by the other party ("Disclosing Party") that is designated as confidential or would reasonably be understood as confidential ("Confidential Information").
Confidential Information does not include information that:
- Is or becomes publicly available through no fault of the Receiving Party;
- Was already known to the Receiving Party before disclosure;
- Is independently developed by the Receiving Party without use of the Confidential Information;
- Is rightfully received from a third party without restriction.
Confidentiality obligations survive termination of this Agreement for a period of two (2) years.
14. Service Availability
We aim to keep Muxbe available and operational at all times, but we do not offer a formal Service Level Agreement (SLA) unless separately agreed in writing.
The platform may be temporarily unavailable due to:
- Scheduled or emergency maintenance;
- Infrastructure issues at our cloud infrastructure providers;
- Third-party service outages (the Customer's affiliate platform, the Customer's marketing automation platform, AI service providers, and other upstream providers);
- Force majeure events.
We will make reasonable efforts to notify you of planned downtime in advance and to restore service promptly after unplanned outages.
15. Limitation of Liability
15.1 Liability Cap
To the maximum extent permitted by applicable law, the total aggregate liability of Muxbe (including Giorgi Kurtsikidze personally) arising out of or related to this Agreement — whether in contract, tort, negligence, strict liability, or otherwise — shall not exceed the total fees actually paid by you to Muxbe during the twelve (12) months immediately preceding the event giving rise to the claim.
15.2 Exclusion of Consequential Damages
In no event shall Muxbe be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill, even if advised of the possibility of such damages.
15.3 Exceptions
The limitations in Sections 15.1 and 15.2 do not apply to liability arising from:
- Fraud or willful misconduct;
- Unauthorized use, disclosure, or breach of Customer Data by Muxbe;
- Breach of confidentiality obligations under Section 13;
- Liability that cannot be excluded or limited under applicable law.
15.4 Acknowledgment
You acknowledge that Muxbe is operated by an individual entrepreneur (not a limited liability company), and that the liability cap reflects the commercial reality of the service and its pricing.
16. Indemnification
You agree to indemnify, defend, and hold harmless Muxbe and Giorgi Kurtsikidze from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from or related to:
- Your use of the platform in violation of this Agreement;
- Any data you upload, import, or process through Muxbe, including claims that such data violates third-party rights or applicable law;
- Actions taken by users you have invited to your workspace;
- Your violation of any applicable law or regulation;
- Your use of AI-generated outputs for regulated decisions despite the disclaimers in this Agreement.
17. Governing Law and Disputes
This Agreement shall be governed by and construed in accordance with the laws of Georgia, without regard to its conflict of law principles.
Any disputes arising out of or relating to this Agreement shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days, either party may pursue resolution through the courts of Georgia.
18. Modifications to These Terms
We may update this Agreement from time to time to reflect changes in our services, legal requirements, or business practices.
If we make material changes, we will provide at least 30 days' notice via email to the address associated with your account. Your continued use of Muxbe after the notice period constitutes acceptance of the updated terms.
If you do not agree with the changes, you may cancel your subscription before the changes take effect.
19. General Provisions
- Entire Agreement. This Agreement, together with any applicable order form or statement of work, constitutes the entire agreement between you and Muxbe regarding the subject matter herein and supersedes all prior discussions and agreements.
- Assignment. You may not assign this Agreement without Muxbe's prior written consent. Muxbe may assign this Agreement in connection with a merger, acquisition, or sale of all or substantially all of its assets.
- Severability. If any provision of this Agreement is found to be unenforceable, the remaining provisions will continue in full force and effect.
- Waiver. Failure by either party to enforce any right under this Agreement does not constitute a waiver of that right.
- Force Majeure. Neither party shall be liable for delays or failures in performance resulting from events beyond their reasonable control, including natural disasters, war, government actions, epidemics, internet outages, or third-party service failures.
